Between us “Aylsham Computers” and you “_________________________________”, of “_____________________________________________”
Summary:
0.1 You, “_____________________________” of “___________________________________” (hereinafter “you” “your”), located ___________________________________________________________, are hiring us “Aylsham Computers & Website Design” (hereinafter “us” “our”) located at 15 Red Lion Street, Aylsham, NR11 6ER, to design and develop a web site at the rate of £35 per hour ex VAT (hereinafter, “the hourly rate”) and/or in conjunction with one of our prepared packages.
Agreement
1.1 Client: You have the authority to enter into this contract on behalf of yourself, your company or your organisation. You will give us everything we need to complete the project as and when and in the format we need it. Where requested, you will review our work and provide feedback and approval in a timely manner. Where deadlines have been agreed, these work two ways, so you will also be bound by dates we set together. You also agree to stick to the payment schedule set out at the end of this contract.
1.2 Aylsham Computers: We have the experience and ability to do everything we have agreed with you and we will do it all in a professional and timely manner. We will endeavour to meet every deadline that we have mutually agreed and on top of that we will maintain the confidentiality of everything you give us.
Specifics
2.1 Design
We create look-and-feel designs, and flexible layouts that adapt to the capabilities of many devices and screen sizes. We create designs iteratively and use predominantly HTML, CSS, PHP and JavaScript. Our Content Management System of choice is WordPress.
2.2 Text content
We are not responsible for writing or inputting any text copy. If you would like us to write new content or input text for you, we can do so at the hourly rate.
2.3 Photographs
Where possible, you should supply graphic files in an editable, vector digital format and photographs in a high resolution digital format. If you would like us to search or take photos for you, we can do this for you at the hourly rate. Stock images, if required, may incur a cost to you subject to the vendor.
2.4 Browser testing
Browser testing no longer means attempting to make a website look the same in browsers of different capabilities or on devices with different size screens. It does mean ensuring that a person’s experience of a design should be appropriate to the capabilities of a browser or device. We will test the website on mainstream browsers (e.g. Chrome, Internet Explorer, Safari, and Mozilla Firefox), but we cannot guarantee complete compatibility with every version of each browser. If you need an enhanced design for an older browser, we can provide this at the hourly rate.
2.5 Mobile browser testing
Testing popular small-screen devices is essential in ensuring that a person’s experience of a design is appropriate to the capabilities of the device they are using. We test our work in:
iOS: Safari, Google Chrome Android 4.x: Google Chrome and Firefox
2.6 Professional Indemnity Insurance
We cannot guarantee that our work will be error-free, but in the unlikely event that an error does occur, we have £250,000 of professional indemnity insurance, also known as PI insurance or indemnity insurance. Our professional indemnity policy will offer cover for compensation due to negligence (e.g. giving incorrect advice or making a mistake in our work).
If any provision of this contract shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
You give us permission to access and login to your website as an administrator and, if necessary, create an administrator user account, unless otherwise agreed.
2.7 Copyrights
First, you guarantee that all elements of text, images or other artwork you provide are either owned by you, or that you have permission to use them.
Then, when your final payment has cleared, copyright will be automatically assigned as follows:
You will own the visual elements that we create for this project. You own all elements of text, images and data you provided, unless someone else owns them.
Where we would like to display our work, we reserve the right, with your permission, to display and link to your project as part of our portfolio and to write about it on websites or in print.
2.8 Third-party software and hardware
Any labour undertaken by Aylsham Computers to resolve or troubleshoot issues or incompatibilities relating to third party software and/or hardware will incur labour charges at the standard hourly rate.
For example, a WordPress website has plugin X installed. When the third party developer of plugin X releases an update to the plugin, your website stops working properly.
Where your website and data, including the database or databases, are hosted by Aylsham Computers on third party servers and in the event that your website and/or data changes, a backup will be taken for that day. However, Aylsham Computers will not be responsible for any data loss or corruption on the third party servers.
If you have not requested Aylsham Computers to provide hosting for your website, then data loss, corruption and/or backup will not be the responsibility of Aylsham Computers.
2.9 Hosting & Domains
You agree to pay for any hosting and domain registration requirements incurred by the website. Where payment is not received after 3 reminders, we reserve the right to disable hosting or allow domain registration to expire.
You understand that hosting and/or domain registration fees do not include labour carried out by us. If hosting and/or domain registration is provided by a third-party, we are not responsible for server uptime, domain renewal, or website source files and associated data, though we can offer relevant support at the hourly rate.
Upon request at the hourly rate, we will give you source files and finished files and you should keep them somewhere safe as we’re not required to keep a copy.
When you register a domain with us, you will be registered as the domain name owner using your contact details. The administration and technical contact details will employ our contact details.
2.9 Payment Schedule
We will invoice you on a monthly basis, unless otherwise agreed. If we do not receive payment after 30 days of the invoice date, we reserve the right to freeze continued work on your website.
This contract is a legal document under exclusive jurisdiction of English and Welsh courts.
